Oracle Triggers Force Majeure on Project Jupiter, Stocks Drop 3%

Oracle notified the campus developer in New Mexico to protect itself in case of delays beyond 2028. The bottleneck is a pipeline blocked twice by the state.

Oracle sent a force majeure notification to the developer of Project Jupiter, the data center campus in Doña Ana County, New Mexico, which houses computational capacity for OpenAI within the Stargate program. This information was published by Bloomberg on Thursday (24), with Oracle's shares falling more than 3% in the same day's trading according to CNBC.

The notification was directed to a unit of Blue Owl Capital, which finances the project. According to Bloomberg, Oracle is not attempting to withdraw from its position as the primary tenant of the campus: its goal is to delay payments in case the venture derails and does not become operational by 2028, as planned.

What Oracle and Blue Owl Said

Oracle responded in writing. "Force majeure notifications are common in projects of this scale and are often used to preserve contractual rights," the company stated, adding that they "do not, by themselves, cause a project delay or change delivery expectations." In the same response, Oracle affirmed that "Project Jupiter remains on the planned schedule."

Blue Owl took the same stance. According to the company, the notification "does not alter the financial commitments of this multi-year project," and the parties remain "completely aligned."

Both statements hold true in a strict legal sense. Such a notification reserves rights, it does not exercise them. However, the market interpreted the document as what it protects: the possibility of delay, which is now formalized between the parties.

The Bottleneck is a 27-kilometer Pipeline

The campus occupies about 1,400 acres (approximately 570 hectares), plans for four buildings, and is designed to harness 2.5 gigawatts generated onsite by Bloom Energy’s fuel cells. The county approved industrial revenue bonds of up to $165 billion to finance the construction, led by Stack Infrastructure and BorderPlex Digital Assets.

Fuel cells require gas. The supply relies on the Green Chile, a 17-mile (approximately 27 km) line operated by Energy Transfer, capable of delivering up to 400 million cubic feet per day. The New Mexico land office rejected the route through state territory twice this year, in March and July, citing water consumption and emissions. With the route redrawn, service start has been pushed back by nearly six months to February 1, 2027, according to regulatory documents reported by Source New Mexico in August.

The technical detail is crucial for those purchasing capacity. Jupiter's model replaces the wait for connection to the power grid with self-generation through gas. This shortens the connection timeline, but transfers the risk to another licensing, that of the fuel. In New Mexico, this licensing has been stalled twice in a single year.

Why the Market Reacted

Oracle is currently the most leveraged piece of Stargate, the $500 billion program announced in January 2025 with OpenAI, SoftBank, and MGX. The company funds the expansion of Oracle Cloud Infrastructure with debt and long-term leases, and with this profile, any indication of misalignment between the construction schedule and the revenue timeline impacts the stock price.

The interpretation isn't confined to Austin, Oracle's headquarters. SoftBank, the Japanese partner in Stargate, has a significant part of its investment thesis tied to delivering capacity for OpenAI, and the Abu Dhabi fund MGX is in the same structure. A campus that faces a six-month delay in New Mexico is also a cash flow issue in Tokyo and Abu Dhabi.

For CIOs and infrastructure directors, this episode has practical repercussions. GPU capacity contracts signed today, in any market, depend on projects that have yet to materialize, and the cloud provider itself is protected by force majeure clauses against its developer. The question for the legal team is whether the end customer contract has the same clause, and under what conditions it can be invoked.

The notification also alters the weight of American state regulators in the AI debate. Until now, public discourse has revolved around chips, export controls, and models. In Jupiter, it was a state land office determining the pace of a $165 billion project by assessing the route of a pipeline on public land.
